Nicholas C. Fleming is of counsel to the firm, having joined Perry, Krumsiek & Jack, LLP in 2009. Mr. Fleming has a diverse commercial litigation and corporate transactional practice, representing clients in a wide variety of areas such as commercial litigation, business entity formations (S Corporations, LLC’s, Non-Profit 501(c)(3)’s, Partnerships), mergers & acquisitions, real estate issues, landlord tenant disputes, negotiation of commercial leases, foreclosures, intellectual property issues, licensing, Federal Trademark applications, negotiation of Trademark and Copyright disputes, negotiation of employment contracts and disputes, M.G.L. ch. 93A unfair and deceptive practices claims, partnership disputes, and general contract drafting and review. Mr. Fleming has litigation experience in various forums, including the Massachusetts Housing, District, Superior, and Federal Court systems. He is a trusted advisor to his many clients, both individuals and privately-held companies.

Prior to joining Perry, Krumsiek & Jack, LLP, Mr. Fleming was an Associate in the Corporate Practice Group at Fletcher Tilton, P.C., a general practice firm in Worcester, Massachusetts. In that capacity, Mr. Fleming worked on many complex corporate transactions, including entity formations, mergers & acquisitions, corporate shareholder agreements, buy/sell agreements, LLC operating agreements, website development agreements, software and technology licensing, federal trademark prosecution, wireless communication site lease agreements, and general business contracts.

Prior to his work at Fletcher, Mr. Fleming was a contracts associate for 6 years in Corporate Sponsored Research and Licensing at The Brigham and Women’s Hospital. In that capacity, Mr. Fleming drafted & negotiated a variety of complex agreements, including Licensing Agreements, Sponsored Research Agreements, Material Transfer Agreements, and Confidentiality Agreements. He routinely negotiated confidentiality, intellectual property, option, indemnification, warranties, use of name, and financial terms that were associated with these agreements. Mr. Fleming negotiated with both corporate and academic third parties, ensuring that the agreements conformed to Hospital policies as well as federal government regulations, such as HIPAA.

Mr. Fleming received a Bachelor of Science degree in Business Administration from Providence College. He received a Juris Doctor degree from Suffolk University Law School, where he won the First Year Best Verbal Advocate Award, in his Legal Practice Skills section. Mr. Fleming completed his studies at Suffolk University Law School while working full time at The Brigham and Women’s Hospital.

Prior to law school, Mr. Fleming was a Vice President of Sales for FirstUSA Partners (now part of CHASE), focused on signing endorsement programs (Trademark licensing) between the bank and universities. Mr. Fleming’s experience in law and business makes him a unique asset to the firm’s corporate litigation and transaction practice.

Mr. Fleming has been an active participant in his Metro West community, where he and his family have resided for over 10 years.
