Sharon M. Drew
Sharon M. Drew is a partner at Perry, Krumsiek & Jack, LLP and has practiced law since 1996. Ms. Drew’s practice focuses on corporate governance, compliance with the Securities Act of 1933, the Securities Exchange Act of 1934, the New York Stock Exchange and NASDAQ, Sarbanes-Oxley compliance, stock option plans, executive compensation, initial public offerings, private placements, corporate transactions, cross-border transactions, board of director advisory services, and startup company legal counsel.
Ms. Drew has extensive on-the-ground international experience, having served as general counsel to companies based in Hungary, the United Kingdom, the Netherlands, Iceland, India, Chile, China, with subsidiaries in countries within the EU, Asia, the United States and many other nations. Ms. Drew attended the University of Salzburg, Austria under programs offered by the University of the Pacific, McGeorge School of Law and has received diplomas in International Comparative Law and Advanced International Law. She has counseled large and small corporations on issues ranging from national subsidiary and branch laws to private equity financing for startup companies. She has been a member of the board of directors for entities in India, Denmark and Barbados. Ms. Drew has lectured on issues relating to intellectual property on behalf of the Latvian Innovation Center in Riga, Latvia, the Ernst & Young International Legal Network discussing the reach of the Securities and Exchange Commission and the Austrian Ministry of Finance Programs for Innovation on protecting intellectual property in Central and Eastern Europe. She has written an article on the international reach of the SEC that was published in the Comparative Law Yearbook on International Business (Kluwers).
In addition to international practice experience, Ms. Drew has extensive experience working with technology companies. She has considerable experience in software licensing, inter-company strategic planning for intangible property use and development (transfer pricing). She has assisted a number of startup technology companies through various rounds of funding from seed capital to exit.
Ms. Drew is a member of the California Bar Association and the New York Bar Association.
