PKJ’s attorneys have counseled on capital market transactions for issuers and investors involving public issuances of equity, debt, convertible instruments and exempt securities, as well as registration of securities for resale and equity line financing, for offerings by corporations, limited liability companies and business development companies.  PKJ also offers counsel in private offerings of securities and assists clients in raising capital through venture capital funding.

In their representation, our attorneys have negotiated and prepared:

  • Registration statements and associated filings, such as confidential treatment requests, with the SEC for transactions including: initial public offerings, mergers, debt and equity offerings, registration for resale and associated periodic reports in compliance with federal securities laws for both domestic and international companies.
  • Private offering documentation such as for those sold under Regulation D, Rule 144A, Regulation S and Section 4(2) including: private placement memoranda; subscription agreements; limited liability company and limited partnership agreements, and legal opinions.
  • Venture and private capital arrangements, piggy-back registration rights agreements, shareholder agreements, investment trusts (including REITs), convertible notes and other securities instruments, and many others.

  • Represented a foreign reporting company in a going private transaction.
