Corporate Governance

PKJ counsels entities and their governing bodies and executives on the process and procedures of governance.  The firm advises on a variety of corporate governance and strategy matters ranging from the best structure for entity formation to fiduciary duty questions, forms of governance, advice on specific transactions, compliance and best practices.  Our attorneys also bring special expertise having acted at the General Counsel/Associate General Counsel level for public and private companies in various stages of growth managing, among other matters: compliance and regulatory issues; health and welfare benefits; executive compensation; intellectual property concerns; and acting as advisor to the Boards of Directors.  PKJ also counsels in SEC Compliance and Reporting (including Sarbanes-Oxley).

Representative Experience:

• Board of Directors training, reporting, committee compliance and legal advisory and support activities including preparing materials for, participating in and drafting corporate resolutions and minutes for Board and Committee meetings.
• Reviewing earnings scripts, presentations for Analyst Days, press releases announcing financial information, other press releases and communications with the public and drafting, renewing and updating company policies.
• Compensation plans document drafting, maintenance and reporting.
• Participation in internal audit of internal controls and procedures and presentation of recommendations.
