Representative Experience:

• Acquisition of subsidiary in Thailand for American advertising company, taking advantage of Thai tax incentives for American investors.
• Represented large diversified Indian industrial group in its bid to acquire European-listed rig company with U.S. operations and a market capitalization of approximately $600 million dollars.
• Advised the counsel of the bank syndicate’s mandated lead arranger on certain structured finance and tax aspects of the acquisition facility for a leading U.K. private equity fund’s acquisition of a global brewing conglomerate’s Eastern European assets.
• Creating turnkey subsidiary in the U.S. for international Italian manufacturer, including creation of the new company, preparing executive contract for first American employee, implementing employee benefits, and securing accounting and insurance services.
• Establishing Delaware corporation for French Internet based company.
