PKJ’s attorneys have counseled clients in a wide array of M&A matters ranging from public mergers with the related SEC disclosure filings and shareholder voting issues, private divestitures and acquisitions, various transaction structures including reverse mergers, spin-offs, going private transactions, proxy contests and unsolicited bids, private equity transactions, joint ventures and cross-border acquisitions and divestitures. 

Representative Experience:

• Represented client portfolio company and affiliates in acquisition of collection companies and vehicle accessory company.
• Represented major stockholder of a brokerage/investment bank in connection with the latter’s reorganization and sale of majority equity interest to a management group and the reorganization of its subsidiaries.
• Represented buyer entities in acquisition of assets of Illinois insurance company.
• Represented parent company in sale of 355 of its chain restaurants nationally.
• Represented North Carolina LLC in asset sale to Delaware corporation, followed by reverse merger into a Minnesota corporation and a subsequent merger into another Delaware corporation.
